Lawyers on Demand (LOD), a Consilio company, is assisting a private equity and investment firm in seeking an experienced Post-Acquisition Contracts Attorney to support the integration of a newly acquired company.
Position Details
Start Date: ASAP
Duration: 2–3 months
Hours: Part-time, 20–30 hours per week
Location: Fully remote
Compensation: $100/hour
Responsibilities
Provide legal support for a broad range of commercial contract matters arising during the post-acquisition integration process
Review, draft, revise, and negotiate new and existing commercial agreements
Support the transition and integration of the acquired company's vendor contracts and other third-party agreements
Review and manage agreements identified in the Purchase Agreement and Transition Services Agreement (TSA)
Partner with internal stakeholders to address contractual needs across various business functions
Collaborate with the internal technology team on vendor and technology-related agreements
Support the HR team with employment-related and HR contracts
Provide practical legal guidance and serve as a resource to internal stakeholders throughout the integration
Candidate Qualifications
Significant experience drafting, reviewing, and negotiating commercial contracts
Ability to manage a diverse portfolio of agreements and competing priorities in a fast-paced environment
Experience working cross-functionally with technology, HR, procurement, operations, and other business teams
Strong understanding of vendor agreements, commercial contracts, and transactional matters
Ability to work independently and provide practical, business-oriented legal advice with minimal supervision
Excellent communication, organizational, and stakeholder management skills
Active license to practice law in any U.S. jurisdiction, in good standing, required
