Position Overview
The Lateral Conflicts Analyst serves as a primary resource for analyzing conflict-of-interest risks related to prospective lateral hires (attorneys and staff). Key Responsibilities

Our client is seeking a highly organized and detail-oriented Corporate/Securities Paralegal to support attorneys on a wide range of corporate matters. This role involves assisting with corporate governance, transactional work, and securities compliance, and is ideal for someone who thrives in a fast-paced, detail-driven environment.
The ideal candidate will have a strong background in corporate and securities law, excellent organizational skills, and the ability to manage multiple priorities with precision. A proactive approach and a high level of accuracy are essential for success in this position.
Key Responsibilities:
Support corporate and transactional matters by:
Assisting with general corporate governance, including maintaining corporate records and minute books
Supporting corporate transactions such as mergers, acquisitions, financings, and reorganizations
Managing due diligence processes, including organizing and reviewing documents and preparing data rooms
Coordinating transaction closings, including drafting closing checklists, certificates, and handling post-closing requirements
Draft and prepare corporate and securities documents, including:
Entity formation, qualification, merger, and dissolution filings
Organizational documents such as operating agreements and bylaws
Corporate consents, resolutions, meeting minutes, annual reports, and statements of information
Private securities compliance filings, including Form D and Blue Sky filings
Qualifications:
Paralegal certificate from an ABA-approved program or equivalent experience required; bachelor’s degree preferred
3–5 years of experience as a corporate/securities paralegal in a law firm or in-house legal department
Exceptional organizational skills with strong attention to detail and accuracy
Ability to manage multiple projects and deadlines in a fast-paced environment
Technical Skills:
Advanced proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, etc.)
Experience with equity management platforms, particularly Carta, including managing capitalization tables, stock options, and equity grants
Salary: $85,000-$125,000

Our client is looking for a skilled and detail-oriented Commercial Real Estate Paralegal to support attorneys within the firm’s Real Estate practice group. This position involves assisting with complex commercial real estate matters, including acquisitions, dispositions, financing transactions, and leasing.
The ideal candidate will have prior commercial real estate experience, be proactive and well-organized, and possess a strong grasp of the work. A hybrid schedule is currently offered, depending on workload and team needs.
Key Responsibilities:
Support general commercial real estate activities by:
Managing transaction checklists, timelines, and overall matter progress
Ordering and reviewing title and survey materials; summarizing title commitments and exceptions
Monitoring endorsements and survey-related items
Coordinating with attorneys, title companies, surveyors, and other parties to resolve title and survey issues
Conducting UCC, lien, and litigation searches
Performing federal court searches through PACER
Handling intellectual property searches, including patents, trademarks, and copyrights
Reviewing search results and preparing summaries for attorney and client review
Obtaining corporate documents and certificates of good standing
Qualifications:
3–5 years of experience as a Commercial Real Estate Paralegal in a law firm setting
Ability to manage multiple priorities and work independently in a fast-paced environment
Strong written communication skills, including spelling, grammar, and punctuation
Proficiency with Windows 11, Microsoft Outlook, Excel, PowerPoint, Adobe Acrobat Professional, Zoom, and Microsoft Teams, with the ability to quickly learn new systems
Salary: $85,000 – $125,000
